Application for Mascoma Mutual Financial Services Corp. to merge with Androscoggin Bancorp, MHC, and acquire control of Androscoggin Bancorp, Androscoggin Bank, and Portland Trust Co.

Mascoma Mutual Financial Services Corporation, a New Hampshire mutual holding company, and Androscoggin Bancorp, MHC, a Maine mutual holding company, have applied to the Maine Bureau of Financial Institutions pursuant to Title 9-B Chapters 35, 101 and 105 for the approval of a merger, with the resulting entity to be known as ClearNorth Financial Mutual Holding Company. As part of the holding company merger, the application also seeks approval for the acquisition of control of Androscoggin Bancorp Inc., Androscoggin Bank, and Portland Trust Company, LLC pursuant to M.R.S. 9-B §1015. The merger is also subject to approval by the New Hampshire Banking Department and federal banking regulators.

A hearing on this application will be held by the Superintendent of the Bureau of Financial Institutions, as provided in Title 9-B M.R.S. Section 252, upon receipt of a bona fide and reasonable request. The Bureau will accept written comments and requests for a hearing through Thursday, August 6, 2026. The Superintendent's decision on this application will be based on the decision-making criteria set forth in Title 9-B M.R.S. Section 253.
